HHP advises Northern Fibre Holding (subsidary of UBS) on acquisition of Sewikom

Northern Fiber Holding GmbH (NFH) a subsidiary of UBS Asset Management Real Estate & Private Markets (UBS) has signed an agreement to acquire 100% of the shares in KTW Beteiligungsgesellschaft mbH (KTW), which holds sewikom GmbH and sewikom NetzbauGmbH (together Sewikom) as wholly owned subsidiaries.
Sewikom is a regional FTTxprovider based in Beverungen, North Rhine-Westphalia with a focus on FTTH/B roll-out. Sewikom will be pooled together with UBS's previous investment from 2021, LünecomKommunikationslösungen GmbH, under the umbrella of the infrastructure company NFH. Through the acquisition, both companies will benefit from synergies in purchasing, rollout, as well as marketing. With the help of these synergies and the capital provided by UBS for the further network expansion, NFH is strengthening its position as a major player in the German fibre-optic market.
HHP provided full buy-side advisory services to UBS, including but not limited to tactical advice, transaction structure, support in SPA negotiation, financial model as well as coordination of other buy-side advisors and respective workstreams.
Besides HHP, UBS was advised by Hogan Lovells (legal), Eight Advisory (financial/tax), ateneKOM (technical) and Arthur D. Little (commercial).
